This website, accessible at www.acdirectenergy.co.za, along with related mobi-sites and software applications (the "Website"), is owned and operated by AC Direct Energy (Pty) Ltd ("AC Direct Energy", "we", "us", and "our"). These Website Terms and Conditions ("Terms and Conditions") govern the ordering, sale, installation, and delivery of Goods and Services, and the use of the Website.

These Terms and Conditions are binding and enforceable against every person that accesses or uses this Website ("you", "your", or "user"), including without limitation each user who registers as contemplated below ("registered user"). By using the Website and by clicking on the "Register", "login" or "Apply" button on the Website, as may be applicable, you acknowledge that you have read and agree to be bound by these Terms and Conditions.

The Website enables you to access information about and apply for renewable energy solutions, including but not limited to solar panel systems, battery energy storage systems (BESS), and related accessories and services ("Goods and Services").

These Terms and Conditions apply to users who are consumers for purposes of the Consumer Protection Act, 68 of 2008 (the "CPA"). They contain provisions that may:

• Limit the risk or liability of AC Direct Energy or a third party;
• Create risk or liability for the user;
• Compel the user to indemnify AC Direct Energy or a third party; and/or
• Serve as an acknowledgement, by the user, of a fact.

Your attention is drawn to these Terms and Conditions because they are important and should be carefully noted. If there is any provision you do not understand, it is your responsibility to ask AC Direct Energy to explain it to you before you accept the Terms and Conditions or continue using the Website. Nothing in these Terms and Conditions is intended to unlawfully restrict, limit, or avoid any right or obligation created for either you or AC Direct Energy in terms of the CPA.

AC Direct Energy permits the use of this Website subject to these Terms and Conditions. By using this Website in any way, you shall be deemed to have accepted all the Terms and Conditions unconditionally. You must not use this Website if you do not agree to the Terms and Conditions.

You may be required to register on the Website to apply for our Goods and Services. To register, you must provide a unique username and password and provide certain information and personal details to AC Direct Energy.

You agree and warrant that your username and password shall be for personal use only and not be disclosed to any third party. For security purposes, you agree to enter the correct username and password when prompted. You will be liable for payment of any order placed with your credentials, save where an order is cancelled by you in accordance with these Terms and Conditions. You agree to notify AC Direct Energy immediately of any unauthorised access to your account.

By using the Website, you warrant that you are 18 years of age or older and of full legal capacity. If you are under 18, you may use the Website only with the involvement and supervision of a parent or legal guardian who agrees to be bound by these Terms and Conditions.

You agree not to use any device or software to interfere with the proper working of the Website. You may not use the Website to distribute defamatory, offensive, or unlawful material. You may not display, publish, copy, or otherwise use the Website's content without our express prior written consent.

Users may apply for Goods and Services, which AC Direct Energy may accept or reject. Acceptance depends on factors such as the results of a site assessment, correctness of the information provided, and the specific service agreement entered into (e.g., a Power Purchase Agreement).

The submission of an application does not constitute an agreement of sale or service. An agreement will only come into effect upon the signing of a definitive contract, by both you and AC Direct Energy.

All offers and pricing are subject to change and depend on the specific terms of your final agreement. We cannot be held liable if pricing or terms change during the application process.

All estimated cost savings during the application process are estimates and vary based on your specific energy usage, property requirements, location, and other factors. Actual savings will be refined during the review process of your application.

Payment terms will be governed by the specific agreement you enter into with AC Direct Energy.

For financed systems, payment will be based on energy consumption as measured by a smart meter installed by AC Direct Energy. You will be required to purchase electricity tokens for this meter.

For outright purchases, payment can be made via debit card, credit card, direct bank deposit, or electronic funds transfer (EFT). We may require additional information to verify payment.

All transactions are encrypted. We are not liable for payments made to third parties.

AC Direct Energy will deliver and install the agreed-upon Goods at the physical address nominated by you. Our obligation to deliver is fulfilled when the Goods are delivered to this address.

We will use vetted, trained, and approved installers. Following installation, a Certificate of Compliance (COC) will be issued. This will be subject to you having an existing COC in place for the property of installation. If you do not have an existing COC, you will be required to apply for one.

As part of our financed service, a smart meter will be installed at your premises. This meter remains the property of AC Direct Energy and allows for the monitoring of energy consumption and facilitates our usage-based billing model. You consent to us accessing data from this smart meter for billing and service purposes.

For outright purchases of Goods, returns will be handled in accordance with our Returns Policy, which is incorporated by reference into these Terms and Conditions.

For Goods and Services provided under a PPA or other long-term service agreement, the terms of that specific agreement will govern the maintenance, repair, and replacement of the system.

Please refer to our Privacy Policy for more information on how we handle your personal information.

We respect your privacy. Should you decide to register or apply, we may require personal information including your name, address, contact details, and potentially financial information for credit assessment.

We will not, without your express consent, use your personal information for any purpose other than in relation to the ordering, sale, delivery, and servicing of Goods and Services; to contact you regarding our offerings; and to improve our services.

We may disclose your personal information to our employees, third-party service providers, and legal authorities as required by law.

We will take appropriate technical and organisational measures to secure your personal information.

The use of the Website is at your own risk. While we take reasonable measures to ensure the accuracy of the information on the Website, we make no representations or warranties as to its quality, timeliness, or completeness.

AC Direct Energy shall not be liable for any damage, loss, or expense arising from your use of the Website or reliance on its content, unless provided for by law.

The Website and its content are provided "as is." We do not warrant that the information or files available on the Website are free of viruses or other harmful code.

We are not liable for the installation of an incorrectly sized unit if the decision was based on incomplete or inaccurate information provided by you. Our site assessment aims to prevent this, but the ultimate responsibility for providing accurate information rests with the customer.

Our liability in connection with any Goods and Services supplied is limited to that which is set out in the definitive agreement signed by you. We do not accept liability for indirect or consequential damages.

These Terms and Conditions and our relationship shall be governed by the laws of the Republic of South Africa. You consent to the non-exclusive jurisdiction of the High Court of South Africa (Gauteng Local Division, Johannesburg) for any dispute arising from these Terms.

We may change these Terms and Conditions at any time. It is your responsibility to check them regularly. Your continued use of the Website after any change constitutes acceptance of the new terms.

Any failure to enforce a right under these Terms and Conditions does not constitute a waiver of that right. If any term is declared invalid, the remaining terms will remain in effect.

These Terms and Conditions, together with any definitive agreement signed by you, constitute the whole agreement between you and AC Direct Energy.
